Terms of Service
1. Contracting Entity & Status of Website Information
These Terms of Service (“Terms”) govern your access to and use of the website located at https://solynx.ae and all commercial interactions with SOLYNX SOLAR ENERGY SYSTEMS INSTALLATION L.L.C S.O.C (commercial licence number 1499873, registered with the Dubai Department of Economy and Tourism).
The content, technical specifications, and indicative models displayed on this website are provided for informational and preliminary sizing purposes only and constitute an invitation to treat, not a legally binding offer to sell or lease. A binding commercial agreement is established only upon the mutual execution of a formal offline contract (e.g., Master Rental Agreement, Equipment Purchase Agreement, or AMC Contract) signed by an authorized corporate signatory.
2. Strict No-Online-Payment & Quotation Governance
This website does NOT process, bill, or transact payments online. There is no shopping cart, credit card payment gateway, or direct online purchase facility on solynx.ae.
- Submitting a quote request or contact enquiry generates an acknowledgement reference code (
SLX-...), but does not commit Solynx to supply equipment or lock pricing until confirmed in writing. - Official quotations are issued offline following site feasibility review. Quotations remain valid for fourteen (14) calendar days from the date of issuance unless explicitly stated otherwise.
- All commercial transactions are settled via verified corporate bank wire transfer or company cheque against official tax invoices denominated in UAE Dirhams (AED), inclusive of applicable UAE Value Added Tax (VAT) at the statutory rate of 5%.
3. Equipment Rental Conditions
Where energy equipment (including expandable solar containers, battery energy storage systems, or off-grid cabins) is leased from Solynx, the following core commercial conditions apply:
4. Equipment Sales & Transfer of Title
For outright equipment purchases (such as commercial EV chargers, power stations, and custom solar setups):
- Title and Risk: Risk of loss or damage passes to the buyer upon physical handover at the designated delivery address. Legal title and ownership remain with Solynx until 100% of the agreed purchase price, mobilization costs, and applicable VAT have been cleared in full.
- Manufacturer Warranties: Solynx assigns all applicable original equipment manufacturer (OEM) warranties (e.g., PV module output warranties, inverter warranties, and battery cell cycle ratings) directly to the buyer as itemized in the commercial sales agreement.
5. Technical Services & Inspection Scope
Solynx provides specialized installation, annual maintenance, and technical quality inspections under its licensed activities:
- Installation Scope: Electrical cabling, grounding terminations, and inverter synchronization are conducted by qualified electrical engineers adhering to DEWA (Dubai) or ADDC/AADC (Abu Dhabi) wiring regulations and IEC standards.
- Technical Quality Inspections: Inspection reports deliver a factual engineering assessment of mechanical mountings, inverter diagnostic logs, DC string continuity, and thermal hotspots. An inspection report does not constitute statutory utility certification unless specifically arranged under formal regulatory mandate.
6. Maintenance & Emergency Response SLAs
Service Level Agreements (SLAs) regarding preventive maintenance frequency, technical dispatch windows, and equipment replacement guarantees are governed strictly by the specific schedules agreed within an executed Annual Maintenance Contract (AMC) or Rental Agreement.
Operational response targets referenced on marketing pages (such as 2-hour acknowledgement or 4-hour field dispatch) reflect standard business targets for contracted worksites within Dubai and do not constitute absolute liquidated damages guarantees unless explicitly stipulated in the signed contract schedule.
7. Limitation of Liability & Force Majeure
8. Governing Law & Dispute Resolution
These Terms of Service and any commercial disputes arising from your relationship with Solynx shall be governed by and construed in accordance with the laws of the Emirate of Dubai and the applicable Federal Laws of the United Arab Emirates.
Any dispute, controversy, or claim that cannot be resolved amicably through good-faith commercial negotiation within thirty (30) days shall be subject to the exclusive jurisdiction of the competent Courts of Dubai (or the Dubai International Financial Centre Courts where agreed in writing).
